Terms of Service

Legal framework, master service agreements, and intellectual property terms governing client engagements with InexpensiveCoders.

Notice: These Terms of Service govern your use of the InexpensiveCoders website and services. For active software development contracts, specific Statements of Work (SOW) and Master Services Agreements (MSA) executed between parties take precedence over general site terms.

1. Agreement & Acceptable Use

By accessing inexpensivelycoders.com or entering into an engineering agreement with InexpensiveCoders ("Company", "we", "us"), you agree to comply with these Terms of Service. You agree not to misuse our website, reverse-engineer proprietary utility tools, or attempt unauthorized access to our infrastructure.

2. Engineering Services & Delivery Models

InexpensiveCoders provides enterprise software development, artificial intelligence & Agentic RAG engineering, mobile application development, cloud-native DevOps pipelines, and dedicated developer pod staffing under three primary models:

  • Fixed-Scope Projects: Milestone-based deliverables governed by defined acceptance criteria in a Statement of Work (SOW).
  • Dedicated Engineering Squads: Dedicated full-stack pods (Tech Lead, Developers, QA, DevOps) working exclusively under client direction on a monthly sprint allocation basis.
  • Time & Materials (T&M): Flexible engineering resources billed based on agreed hourly or daily rate cards.

3. Priority of Contractual Documents

In the event of any conflict between documents governing a client engagement, the following order of precedence applies:

  1. Project-Specific Statement of Work (SOW)
  2. Executed Master Services Agreement (MSA) or Mutual Non-Disclosure Agreement (MNDA)
  3. General Website Terms of Service

4. Intellectual Property Rights & Code Assignment

Intellectual property allocation is governed strictly by invoice settlement and written agreements:

  • Custom Client Deliverables: Upon full payment of milestone fees, all custom software source code, repository commits, database schemas, architecture designs, and proprietary documentation created specifically for the client belong 100% exclusively to the client.
  • Background IP & Open Source: InexpensiveCoders retains ownership of pre-existing core utility frameworks, starter kits, and open-source tooling. Clients receive a perpetual, royalty-free, non-exclusive license to use such background IP embedded within their deliverables.

5. Client Responsibilities & Technical Assets

Clients are responsible for providing timely feedback on sprint deliverables, granting necessary sandbox API keys or cloud access credentials, and ensuring that any third-party materials provided to InexpensiveCoders do not infringe on third-party intellectual property rights.

6. Confidentiality & Non-Disclosure

Both parties agree to maintain strict confidentiality regarding all proprietary technical data, algorithms, financial terms, trade secrets, and customer lists disclosed during discussions or contract execution. Confidentiality obligations survive for a period of three (3) years following contract termination (or indefinitely for trade secrets).

7. Payment Terms, Invoicing & Taxes

Payment terms are outlined in individual project Statements of Work. Invoices are generally payable Net-15 or Net-30 days from issuance. Payments may be made in USD, GBP, EUR, or INR. Late payments may accrue interest at 1.5% per month. Clients are responsible for applicable local withholding taxes, VAT, or GST.

8. Warranty & Defect Remedy Period

InexpensiveCoders provides a 60-day warranty period following final project acceptance, during which we will fix any reproducible code bugs or discrepancies from agreed SOW requirements at no additional charge. This warranty excludes defects caused by unauthorized client code modifications, third-party hosting outages, or third-party LLM API deprecations.

9. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. InexpensiveCoders' aggregate financial liability under any project shall not exceed the total fees paid by the client under the specific Statement of Work giving rise to the claim in the six (6) months preceding the event.

10. Contract Termination & Offboarding

Either party may terminate an ongoing engagement for convenience with thirty (30) days written notice, or immediately for material breach if the breaching party fails to cure such breach within fourteen (14) days. Upon termination, all completed work product and code commits paid for up to the termination date will be promptly handed over to the client.

11. Governing Law & Dispute Resolution

These Terms of Service and any contractual disputes shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or in connection with an enterprise engagement shall be resolved through binding arbitration in Coimbatore, Tamil Nadu, India, conducted in English.
